Bylaws of Zion Forever Project

These Amended and Restated Bylaws govern the operations of Zion Natural History Association, which does business as Zion National Park Forever Project. Adopted October 6, 2023.

Article I

The Corporation

Zion Natural History Association, doing business as Zion National Park Forever Project, is a Utah nonprofit corporation organized under Section 501(c)(3) of the Internal Revenue Code and operating as an NPS Cooperating Association.

Article II

Board of Directors

The Board comprises 8 Directors (between 3 and 11), serving 3-year terms with a maximum of three consecutive terms. A majority must be Utah residents. The Board holds all authority of the Corporation and elects its own members.

Article III

Committees

The Board may establish committees of at least two Directors. An Executive Committee—comprising the Chair, Vice-Chair, and immediate past Chair—may conduct business between full Board meetings and supervises the CEO.

Article IV

Officers

Officers include a Chair, Vice-Chair, Finance Committee Chair, and CEO. Officers are elected annually by the Board. The CEO is an employee who attends all Board and Executive Committee meetings and maintains official records.

Article V

Indemnification

The Corporation shall indemnify Directors and Officers to the maximum extent permitted by law against expenses, judgments, and settlements arising from their service. The Board may extend similar protections to other agents.

Article VI

Miscellaneous

The fiscal year ends December 31. Bylaws may be amended at a meeting called for that purpose by a two-thirds affirmative vote of all Directors, provided amendments remain consistent with 501(c)(3) status and NPS cooperating association guidelines.
